Layers are used to organize the visual content of your project (the stuff that the end user is going to see). They are transparent, and stack on top of each other, each layer containing graphics or other visual objects that will not interfere with the assets on other layers. Of course, graphics stored on layers higher in the stacking order will obscure graphics in lower stacking orders where they overlap (which can be used creatively to create perspective effects or the illusion of depth). In addition, layers are used to store ActionScripts and sounds.
